(Reference is made to Hektar REIT’s announcements dated 10 June 2016, 5 September 2016, 9 January 2017, 14 February 2017, 20 February 2017, 13 April 2017, 22 May 2017, 13 June 2017 and 7 July 2017 in relation to the Rights Issue (“Announcements”). Unless otherwise stated, all abbreviations used herein shall have the same meanings as those used in the Announcements) On behalf of the Board, Maybank IB wishes to announce that the issue price of the Rights Units has been fixed at RM1.11 per Rights Unit (“Issue Price”) on the basis of 7 Rights Units for every 46 existing Units held by the Entitled Unitholders. The Issue Price was determined by the Board after taking into consideration the theoretical ex-rights price (“TERP”) of RM1.31 per Unit based on the five (5)-day volume weighted average market price of the Units up to and including 13 July 2017, being the last trading day prior to the date of this announcement, of RM1.34, representing a discount of 15.27% to the TERP of the Units. The Board is of the opinion that the discount will provide Entitled Unitholders with an equal and attractive opportunity to increase their participation in Hektar REIT as well as reward the Entitled Unitholders for their continuous support to Hektar REIT. Based on 400,634,117 Units in issue as at 14 July 2017, the Rights Issue will result in the issuance of 60,966,061 Rights Units, raising gross proceeds of approximately RM67.67 million. On behalf of the Board, Maybank IB also wishes to announce that the Manager and the Trustee had today executed an underwriting agreement with Maybank IB and Kenanga Investment Bank Berhad for the underwriting of the remaining portion of 17,517,678 Rights Units for which no undertakings have been obtained, representing approximately 28.7% of the Rights Units.
