Unless otherwise defined, the definitions set out in the announcements dated 28 May 2020 and 3 June 2020 shall apply herein.

On behalf of the Board, M&A Securities is pleased to announce that Bursa Securities had vide its letter dated 9 June 2020, resolved to approve the listing and quotation of up to 23,098,000 new Units in Hektar REIT to be issued pursuant to the Proposed Private Placement on the Main Market of Bursa Securities subject to the following conditions:

1. Hektar REIT and M&A Securities must fully comply with the relevant provisions under the MMLR pertaining to the implementation of the Proposed Private Placement;
2. Hektar REIT and M&A Securities to inform Bursa Securities upon the completion of the Proposed Private Placement;
3. Hektar REIT and M&A Securities to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Private Placement is completed; and
4. If relevant, Hektar REIT to furnish Bursa Securities with a certified true copy of the resolution passed by the unitholders at the forthcoming AGM for the authority to issue new units pursuant to Paragraph 6.59 of the MMLR before the listing and quotation of the Placement Units.
